Welcome to The Happening App (“the App”). The Happening App is operated by Eastern Strategy LLC (“we”, “us”, or “our”). By downloading, accessing, or using the App, you agree to be bound by these Terms and Conditions (“Terms”). If you do not agree to these Terms, you must not use the App.
You may need to create an account to use certain features of the App. When you create an account, you agree to:
You are responsible for all activity that occurs under your account.
The App requires access to your device’s location in order to function as intended. We use your location to show nearby businesses, events, and promotions.
If you disable location services or do not grant permission, some or all features of the App may not work, and you may not be able to use the App at all.
The Happening App displays promotions, deals, events, and other information about local businesses (“Business Content”). Some or all of this Business Content may be:
We do not guarantee that any promotion, price, event details, or availability shown in the App is accurate, complete, current, or error-free. For example, a business may change a promotion from “2 slices and a 2-liter for $10” to “$11” without updating us, or we may make a mistake when entering the information.
You understand and agree that:
The appearance of a business, promotion, or event in the App does not constitute an endorsement, recommendation, or guarantee by us. We are not a party to any transaction between you and a business, and we do not control the quality, safety, legality, or availability of any goods or services offered.

The App, including its design, branding, and content (excluding content posted by users and businesses), is owned or licensed by Eastern Strategy LLC and is protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works from the App except as allowed under these Terms or applicable law.
The App is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that the App will be uninterrupted, error-free, secure, or that any defects will be corrected.
To the fullest extent permitted by law, Eastern Strategy LLC and its owners, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or business interruption, arising out of or in connection with your use of the App.
In all cases, our total liability for any claim related to the App will be limited to the amount you have paid us (if any) in the twelve (12) months before the claim arose.
We may update or change the App at any time, including adding or removing features. We may also update these Terms from time to time. When we do, we will update the “Last updated” date above. Your continued use of the App after any changes means you accept the updated Terms.
We may suspend or terminate your access to the App at any time, with or without notice, if we believe you have violated these Terms or for any other reason.
These Terms are governed by the laws of the Commonwealth of Massachusetts and applicable U.S. federal law, without regard to conflict of law principles. Any disputes will be resolved in the state or federal courts located in Massachusetts, and you consent to their jurisdiction.
